This document describes the Terms & Conditions that apply to any and all of the online services provided by Innovators.

Terms of Use

The terms and conditions in this document govern your use of any services that Innovators may supply and are legally binding on you.

If you do not agree with any of these terms and conditions, do not access or otherwise use any of the services made available by Innovators.

Your use of any services made available by Innovators shall be deemed to be your agreement to abide by the terms and conditions contained in this document.

Software as a Service

By subscribing to any online service offered by Innovators you entering an agreement whereby Innovators provide the website, website templates, website extensions and hosting service for a specified monthly fee. Innovators retain ownership of these elements. The customer supplies content, logo, images and retains ownership of this content.

Payment Terms

All services provided by Innovators are to be paid for in advance. If payment has not been made within 30 days the service will be suspended pending payment.

Acceptable Use of Services

Innovators services may be used only for lawful purposes. Users may not use any Innovators service in order to transmit, distribute or store material;

• in violation of any applicable law,
• in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others, or the private, public or other personal rights of others,
• or that is obscene, threatening, abusive or hateful.

Examples of unacceptable use are Drugs, Occult, Illegal, Racism and Hate, Violence, Folklore, Web Translation, Phishing, Plagiarism, Extremist Groups, Nudity and Risque, Tasteless, Freeware Downloads, Instant Messaging, Internet Radio and TV, Peer-to-peer File Sharing, Malware, Spyware, Spam URL.
Innovators will be the sole arbiter as to what constitutes a violation.

Commercial Advertising - Email

Innovators services may not be the source, intermediary, or destination address involved in the transmission of spam (unsolicited email), flames, or mail bombs. Your domain may not be referenced as originator, intermediary, or reply-to address in any of the above.
We consider spam any mass unsolicited message in the mediums of;

• Email,
• Instant Messaging (including but not limited to ICQ, MSN, AIM, Yahoo messenger, Skype, Jabber) ,
• any similar communication technologies which may emerge.

If you are found to have spammed, then we will immediately, without warning, revoke your services.
We reserve the right to refuse, revoke or terminate services to known spammers.
You are not permitted to operate bulk mailing lists (over 50 emails) on our servers without Innovators permission.

Server Abuse

Any attempts to undermine or cause harm to a server hosting an Innovators service is strictly prohibited, we will immediately, without warning, revoke your services.
Bandwidth Policy
You are allotted unmetered national and international bandwidth per month to use. You can use this bandwidth for anything you want besides the things not permitted as outlined in our Acceptable Use of Services section above.
The term unmetered bandwidth means fair use of our service without hidden data charges based on Innovators descretion.
If your account uses heavy amounts of bandwidth that is affecting the performance of our network or servers, or is becoming unreasonable to the point where the expense of operating your account exceeds your monthly fee, we will then discuss your available options, such as upgrading to a bigger plan. We will discuss this with you before proceeding with any account actions.

Renewal Notification

Unless specifically notified by the subscriber in writing at the conclusion of the six month agreement, the subscriber’s website will remain available and the set monthly fee paid by automatic payment will continue on a month by month basis. After the six month period the subscriber may cancel this service at any time by providing one months notice in writing to Innovators.

Upgrade Notification

If at any time the subscriber wishes to upgrade their service and/or add additional products Innovators will waive the one month in advance fee and will only require a change of monthly automatic payment amount from the time the changes are made. The subscriber needs to make a request in writing to Innovators for any upgrade of service and/or additional products.

Cancellation

After the six month period the subscriber may cancel this service at any time by providing one months notice in writing to Innovators.

Termination

Innovators reserves the right to terminate any service, without any judicial intervention, by a written notification to the subscriber, if the subscriber is unable to meet his obligations to pay or if his enterprise is liquidated or Innovators deem that the practices or content on the subscribers website convene New Zealand Human Rights or Consumer Law, or if the subscriber breaks any other clause in this agreement. This termination will be effective immediately. Innovators shall not be liable for any damages on account of such termination.

Liability

Innovators shall not be liable for any special, indirect or consequential damages or losses such as, but not limited to; loss of revenue, loss of use, loss of data, loss of production, costs of capital, or costs caused by interruption of operation suffered by subscriber or by third parties.

Terms & Conditions Changes

Innovators reserves the right to change the terms & conditions of the online services provided. The customer will be notified by email of any changes made. For current terms and conditions please refer to http://www.innovators.co.nz.
